Terms of Service

1. What Ceetrix Is

Ceetrix is a specification management service for software development teams. It helps you create, track, and enforce quality standards for product requirements, technical designs, and implementation tasks. Ceetrix integrates with coding agents (such as Claude Code and OpenAI Codex) via the Model Context Protocol (MCP).

2. Your Account

You sign in with your GitHub account. You are responsible for maintaining the security of your GitHub credentials and any API keys generated by Ceetrix. Notify us immediately if you suspect unauthorised access.

You must be at least 16 years old to use Ceetrix. By creating an account, you confirm that you meet this requirement.

3. What You Can and Cannot Do

You agree to:

  • Use Ceetrix in compliance with applicable laws
  • Not attempt to reverse engineer, decompile, or disassemble the service
  • Not interfere with or disrupt the service or its infrastructure
  • Not use the service to store or transmit malware
  • Not use automated means to access the service beyond the provided APIs
  • Not share your API key with unauthorised parties

We may suspend or terminate your access if you violate these terms.

4. Your Data and Intellectual Property

You own your data. All specifications, requirements, designs, code diffs, and other content you create in Ceetrix remain your intellectual property. We claim no ownership over your content.

You grant Ceetrix a limited licence to process your content solely for the purpose of providing the service (including sending it to AI providers for quality validation). This licence ends when you delete your data or close your account.

We own the platform. The Ceetrix service, including its code, design, documentation, and branding, is our intellectual property. Your use of the service does not grant you any rights to our IP beyond what is necessary to use the service.

5. AI-Powered Features

Ceetrix uses Google Gemini to provide AI-powered features including content quality validation, specification analysis, and QA assessments.

Important:

  • AI-generated assessments (quality gate results, QA verdicts, content evaluations) are not guaranteed to be accurate, complete, or suitable for any particular purpose. They are advisory, not authoritative.
  • You are responsible for reviewing AI-generated outputs and making your own decisions. Do not rely on AI assessments as the sole basis for critical decisions.
  • AI features process your specification text and code diffs. See our Privacy Policy for details on what data is sent to AI providers.

6. Subscriptions and Payment

Ceetrix offers free and paid tiers. Paid subscriptions are billed monthly or annually via Stripe. Prices are listed on our pricing page.

  • Billing: You will be charged at the start of each billing cycle. All fees are non-refundable except as required by law.
  • Price changes: We will give at least 30 days notice before changing prices. Price changes take effect at the start of your next billing cycle.
  • Cancellation: You can cancel your subscription at any time. Access continues until the end of the current billing period.

7. Data Processing

We process your data as described in our Privacy Policy. By using Ceetrix, you acknowledge that your specification content and code diffs may be processed by third-party AI services (specifically Google Gemini) for the purpose of providing quality validation features.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Ceetrix is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Our total liability for any claims arising from your use of the service is limited to the fees you paid to us in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Termination

Either party can terminate this agreement at any time:

  • You: Delete your account or stop using the service.
  • Us: We may terminate your access for violations of these terms, with notice where practicable.

Upon termination, you can export your data for 30 days. After that, your data will be deleted in accordance with our Privacy Policy.

10. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance. If you disagree with changes, you may close your account and export your data.

11. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales, except where local consumer protection laws require otherwise.

12. General

  • Severability: If any provision of these terms is found unenforceable, the remaining provisions continue in full force.
  • Entire agreement: These terms, together with the Privacy Policy, constitute the entire agreement between you and Ceetrix.
  • Force majeure: Neither party is liable for failures caused by events beyond reasonable control (natural disasters, wars, pandemics, government actions, internet outages).
  • Assignment: You may not assign your rights under these terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
